Partner Commercial Terms & Conditions
Please read the following terms carefully and sign at the end to acknowledge acceptance.
Partner Declaration
I hereby confirm that I have read, understood and agree to comply with all the above terms and conditions of Viper Technology.
1. Payment Terms
- 50% advance payment upon Purchase Order confirmation.
- 40% payment before dispatch/delivery.
- 10% balance payment after successful delivery unless otherwise agreed in writing.
2. Price Confidentiality
All pricing, discounts, rebates and commercial terms provided by Viper Technology are strictly confidential and must not be disclosed to any third party without prior written approval.
3. Quotation Validity
Quotations are valid for 7 days unless otherwise stated. Prices may change due to exchange rate, component cost, freight, taxes or government policy changes.
4. Authorized Representation
The partner shall not commit pricing, specifications, warranty or delivery terms without written approval from Viper Technology.
5. Use of Brand
The Viper name, logo and marketing material may only be used for authorized business purposes.
6. Product Information
Only official Viper specifications and marketing material shall be used. Product specifications must not be altered.
7. Warranty
Warranty shall be as per Viper’s official warranty policy. Unauthorized repairs or modifications void warranty.
8. Payment Default
Viper may suspend deliveries or partner benefits in case of overdue payments.
9. Confidential Information
Customer information, tender pricing, technical documents, business strategies and non-public information must remain confidential.
10. Non-Circumvention
The partner shall not bypass Viper in opportunities introduced by Viper Technology.
11. Compliance
The partner shall comply with all applicable laws and procurement regulations.
12. Order Acceptance
Orders are subject to written acceptance by Viper Technology and product availability.
13. Cancellation
Confirmed orders may not be cancelled without written approval from Viper.
14. Force Majeure
Viper shall not be liable for delays caused by events beyond its reasonable control.
15. Governing Law
These terms are governed by the laws of the Islamic Republic of Pakistan.
